December 20, 2022: The news broadcaster said it has received a disclosure filed by VCPL on December 17 in pursuance of an open offer per share of NDTV at Rs. 294.

Information has been given regarding the acquisition of 53,30,792 equity shares having a face value of 4. Payment of consideration to public shareholders was completed on December 15.

India’s richest billionaire Gautam Adani‘s 13-day open offer to buy an additional 26 percent stake in New Delhi Television (NDTV), which closed on December 5, made him the largest shareholder in the news broadcaster.

Adani Group company Vishwapradhan Commercial Pvt Ltd bought 8.27 percent stake in the company in an open offer, NDTV said on Monday.

The open offer was launched after VCPL acquired 99.5 per cent stake in NDTV’s promoter group company RRPR Holding Pvt Ltd (RRPR), which translates to 29.18 per cent ownership in the news company.

Tycoon Adani’s stake in NDTV rose to 37.45 percent after the 13-day closing of the offer. NDTV has shared the revised shareholding pattern of promoters/promoter group:

• Prannoy Roy: 15.94% (1,02,76,991 equity shares)
• Radhika Roy: 16.32% (1,05,24,249 equity shares)

RRPR Holding Private Limited (Indirect Subsidiary of Adani Enterprises Limited): 29.18% (1,88,13,928 Equity Shares) Vishwapradhan Commercial Private Limited (subsidiary of Adani Enterprises Limited): 8.27% (5,330,792 equity shares)

The news broadcaster said it has received a disclosure filed by VCPL on December 17 in pursuance of an open offer per share of NDTV at Rs. 294 at Rs. Information has been given regarding the acquisition of 53,30,792 equity shares having a face value of 4.

“The payment of consideration for the public shareholders whose shares were accepted in the open offer was completed by the acquirer on December 15, 2022.

Accordingly, in terms of SEBI (SAST) Regulations, the offer period for this open offer ended on December 15. , 2022,” NDTV said in an exchange filing.
